Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and BitQit Private Limited, operating as Queue Monitor ("we," "us," or "our"), regarding your use of the Queue Monitor platform and services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Service Description

Queue Monitor provides a unified platform for monitoring, analyzing, and managing message queues across various queue systems including BullMQ, AWS SQS, Azure Service Bus, RabbitMQ, and others. The Service includes:

  • Real-time queue monitoring and analytics
  • Alert configuration and notifications
  • Queue management operations (pause, resume, empty)
  • Job management features (view, retry, delete)
  • Historical data and reporting
  • Team collaboration and access controls
  • API access and integrations

Account Registration and Eligibility

Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Service. By using the Service, you represent and warrant that you meet these requirements.

Account Creation

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Ensuring your account information remains accurate and up-to-date

Organization Accounts

If you register on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and references to "you" include both you and the organization.

Subscription Plans and Billing

Subscription Tiers

We offer multiple subscription plans with different features and limits. Plan details, pricing, and features are available on our pricing page and may be updated from time to time.

Billing

By subscribing to a paid plan, you agree to pay all applicable fees. Key billing terms:

  • Fees are charged in advance on a monthly or annual basis
  • Payment is due immediately upon subscription or renewal
  • All fees are non-refundable except as required by law or as expressly stated
  • We use third-party payment processors to handle billing
  • You authorize us to charge your payment method automatically for renewals

Price Changes

We may change our pricing with 30 days' notice. Price changes will apply at your next renewal. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.

Free Trial

We may offer free trial periods. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel. No charges will be made during the trial period.

Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of your current billing period. We do not provide refunds for partial months or unused time, except where required by law.

Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit malicious code, viruses, or harmful software
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use the Service to spam, harass, or send unsolicited communications
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to monitor competitors' queues without authorization
  • Exceed rate limits or attempt to overload our infrastructure
  • Remove or obscure proprietary notices
  • Resell or redistribute the Service without our written permission

Queue Connections and Data Access

Your Responsibilities

You are responsible for:

  • Ensuring you have authorization to connect your queues to our Service
  • Providing valid and secure connection credentials
  • Maintaining the security of your queue infrastructure
  • Complying with third-party terms of service (e.g., AWS, Azure)
  • Monitoring your queue systems for issues

Service Permissions

By default, Queue Monitor operates with read-only access to your queues. If you enable management features, you grant us permission to perform operations (pause, delete, retry jobs) on your behalf. You can revoke these permissions at any time.

Data Ownership

You retain all rights, title, and interest in your queue data. We claim no ownership rights over your data. You grant us a limited license to access and process your data solely to provide the Service.

Intellectual Property Rights

Our Rights

The Service, including all software, designs, text, graphics, logos, and other content, is owned by Queue Monitor and protected by copyright, trademark, and other intellectual property laws. Our trademarks may not be used without prior written consent.

License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.

Service Availability and Support

Uptime SLA

We strive to maintain high availability:

  • Free and Starter plans: No SLA guarantee
  • Professional plans: 99.9% uptime SLA
  • Enterprise plans: 99.99% uptime SLA with custom terms

SLA credits are available for documented downtime exceeding these thresholds, as detailed in your subscription agreement.

Maintenance

We may perform scheduled maintenance with advance notice. Emergency maintenance may be performed without notice when necessary to maintain security or functionality.

Support

Support availability varies by plan:

  • Free/Starter: Email support, best-effort response
  • Professional: Priority email support, 4-hour response time during business hours
  • Enterprise: 24/7 support, dedicated success manager, custom SLA

Data Privacy and Security

Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.

We implement industry-standard security measures, but no system is completely secure. You acknowledge that you use the Service at your own risk.

Third-Party Services and Integrations

The Service may integrate with third-party services (e.g., Slack, PagerDuty, AWS). Your use of these integrations is subject to the third parties' terms and privacy policies. We are not responsible for third-party services or their availability.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND
  • WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE ARE NOT LIABLE FOR DATA LOSS, BUSINESS INTERRUPTION, OR LOST PROFITS

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Queue Monitor and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your data or content

Termination

Termination by You

You may terminate your account at any time by canceling your subscription through account settings or contacting support.

Termination by Us

We may suspend or terminate your access to the Service immediately, without notice, if:

  • You breach these Terms
  • Your payment fails or your account is past due
  • We are required to do so by law
  • We discontinue the Service (with 30 days' notice)

Effect of Termination

Upon termination:

  • Your access to the Service will be immediately revoked
  • You will lose access to your data after 30 days
  • You may export your data before termination
  • Unpaid fees become immediately due
  • Provisions that by their nature should survive will survive termination

Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Posting updated Terms with a new "Last updated" date
  • Sending email notification to your registered address
  • Displaying an in-app notification

Continued use of the Service after changes constitutes acceptance. If you do not agree to changes, you must stop using the Service and cancel your account.

Dispute Resolution

Governing Law

These Terms are governed by the laws of India and the jurisdiction of New Delhi, India, without regard to conflict of law principles.

Arbitration

Any disputes arising from these Terms or the Service will be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India, with the seat of arbitration being New Delhi, India. Either party may seek injunctive relief in court for intellectual property or confidentiality violations.

Class Action Waiver

You agree to resolve disputes on an individual basis only and waive any right to participate in class action lawsuits or class-wide arbitration.

General Provisions

Entire Agreement

These Terms, along with our Privacy Policy and any subscription agreement, constitute the entire agreement between you and Queue Monitor regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.

Waiver

Our failure to enforce any right or provision in these Terms does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

Force Majeure

We are not liable for delays or failures in performance due to causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet outages.

Export Compliance

You agree to comply with all applicable export and import laws and regulations in your use of the Service.
